Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and NoteSlides ("we", "us", or "the service"). By accessing, registering for, or using the service, you agree to be bound by these terms. If using the service on behalf of an organization, you represent that you have authority to bind that entity.

2. Accounts

  • Accuracy: Registration details must be accurate, complete, and kept up to date.
  • Security: You are solely responsible for maintaining the confidentiality of your credentials and for all activities conducted under your account.
  • Individual Use: Unless explicitly authorized by a multi-seat plan, accounts are for single-user access only. Sharing, renting, or transferring credentials is prohibited.

3. Billing, Credits, and Subscriptions

  • Credit System: Services are billed in credits or subscription quotas as set out on our pricing page. Credits represent prepaid entitlements with no cash value and cannot be transferred or redeemed for fiat currency.
  • Allocation: Subscription credits are granted per billing cycle and expire according to plan terms. Separately purchased credit packs expire on the terms stated at purchase.
  • Deduction: Credits are held when a task initiates and formally deducted upon successful completion. Tasks that fail due to backend service errors are not charged.
  • Renewals and Cancellation: Subscriptions renew automatically until cancelled. Cancelling stops subsequent renewals, while active plan access remains available through the end of the current billing cycle.
  • Refunds: Refund requests are governed strictly by our Refund Policy.

4. User Content and Licences

  • Ownership: You retain full ownership of all original files, images, and assets uploaded to the service.
  • Necessary Licence: To provide the service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, and transmit your content solely to the extent necessary to deliver and support the service. This licence terminates when files are deleted.
  • Warranty: You represent and warrant that you hold all necessary rights and permissions for submitted content, and that processing it does not infringe third-party intellectual property, privacy, or publicity rights, nor violate any law.

5. Output Files

Subject to full compliance with these terms and timely payment, derivative files and exported assets produced by the service from your uploads are yours to use, including for commercial purposes. Generated presentations (.pptx) strictly adhere to standard OpenXML specifications; final visual presentation may vary slightly based on local system fonts, office software versions, and operating system display environments. Due to the automated nature of algorithmic systems, we do not warrant that generated outputs are unique across different users.

6. Prohibited Uses

You agree not to use the service to:

  • Upload or process content you lack lawful rights to handle;
  • Generate, process, or distribute unlawful, sexually exploitative, defamatory, or harmful content;
  • Reverse engineer, decompile, scrape, or attempt to extract model weights, prompts, or underlying systems;
  • Circumvent quotas, rate limits, billing rules, or security controls;
  • Interfere with, disrupt, or overload the infrastructure of the service;
  • Upload malware, viruses, or harmful code.

Violations may result in immediate suspension or termination of access without refund.

7. Service Availability and Disclaimers

  • The service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or uninterrupted operation.
  • We reserve the right to modify, suspend, or discontinue any feature or workflow at our discretion.

8. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for indirect, incidental, punitive, or consequential damages, including lost profits, loss of data, or business interruption.
  • Our aggregate liability arising out of or related to the service shall be capped at the total amount you paid us in the three (3) months preceding the claim, or USD 50, whichever is greater. Users are advised to maintain independent local backups of critical files.

9. Indemnification

You agree to defend, indemnify, and hold harmless NoteSlides from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the service, or your breach of these terms.

10. Termination and Changes

You may terminate this agreement by closing your account at any time. We may suspend or terminate accounts in breach of these terms.
